Noel Tata exits Voltas, Sunil D’Souza takes charge

Noel N Tata, chairman of Tata Trusts, is set to step down as chairman and director of Voltas Ltd, marking an important leadership transition at the Tata Group company. The board has appointed Sunil Alaric D’Souza as his successor, with the change taking effect from November 12, 2026. Noel Tata will assume the position of chairman emeritus after completing his tenure.

The decision was approved at a Voltas board meeting held on November 6. According to the company’s regulatory filing, Noel Tata will retire from his positions as chairman and director at the close of business hours on November 11. He will turn 70 on November 12, making the transition part of the Tata Group’s retirement and governance guidelines.

Noel Tata was born on November 12, 1956, and has been associated with Voltas since 2003. During his association with the company, he played an important role in providing strategic direction and strengthening its position in India’s consumer durables and air-conditioning markets.

The company acknowledged his contribution, stating that his leadership and guidance had helped shape its growth, strengthen its market presence and create sustainable value. His appointment as chairman emeritus will allow the company to recognise his association and contribution even as a new leadership team takes charge.

Sunil D’Souza, who currently serves as managing director and chief executive officer of Tata Consumer Products, will become the new chairman of Voltas from November 12. His appointment brings an experienced Tata Group executive into the leadership position at a time when the air-conditioning and cooling products business is navigating changing consumer demand and competition.

D’Souza has been leading Tata Consumer Products, the group’s fast-moving consumer goods (FMCG) business, which has a presence across tea, coffee, salt, packaged foods and beverages. Its well-known brands include Tata Tea, Tata Salt, Tetley and Tata Sampann.

His experience in managing consumer businesses and leading large organisations is expected to be relevant to Voltas, which operates in the air-conditioning, cooling products and engineering solutions segments. The appointment is also part of the Tata Group’s broader focus on leadership continuity and structured succession planning across its companies.

Voltas has also announced changes to its managing director position as part of the leadership transition. The tenure of current managing director C P Mukundan Menon will conclude on May 24, 2027. He will retire from the company’s services on the same date in accordance with the Tata Group’s retirement policy for executive directors.

The board has approved the appointment of Jayant Balan, currently heading Voltas’ room air-conditioner business, as an additional director and managing director for a five-year term beginning May 25, 2027. The appointment will be subject to shareholder approval.

Until then, Balan will continue to lead the room air-conditioner business while serving as managing director-designate. The arrangement is intended to ensure a smooth transition when Mukundan Menon completes his tenure.

Balan joined the Tata Group in 1999 through the Tata Administrative Service and moved to Voltas in 2001. Over the years, he has held several leadership positions across manufacturing, supply chain management, strategy, international operations and consumer durables. His experience within the company is expected to support continuity in its business operations.

The Voltas board has also approved the appointment of Venkatesalu Palaniswamy, managing director of Trent, as an additional non-independent, non-executive director with effect from November 12. This appointment adds another senior Tata Group executive to Voltas’ board.

Noel Tata’s departure from Voltas is part of a wider leadership transition across Tata Group companies as he approaches the age of 70. He is also set to step down from leadership positions at Trent and Titan in accordance with the group’s governance guidelines.

At Trent, Noel Tata will retire as chairman and director at the close of business hours on November 11 and take over as chairman emeritus from November 12. At Titan, he will retire as vice-chairman and non-executive, non-independent director from November 12. He has been associated with Titan since August 2003.

The changes reflect the Tata Group’s established approach to succession planning and retirement norms for senior executives. The group has traditionally followed age-based governance guidelines to facilitate leadership transitions and provide opportunities for the next generation of executives.

For Voltas, the changes involve more than the replacement of its chairman. With Sunil D’Souza taking over as chairman and Jayant Balan preparing to assume the managing director’s role in 2027, the company is setting out a longer-term leadership structure.

The transition comes at a significant time for India’s consumer durables industry, where demand for room air conditioners, cooling appliances and energy-efficient products continues to shape competition. Voltas will look to maintain its market position while navigating changing consumer preferences and business conditions under its new leadership.
